| Description (Please provide a detailed description of the event in the box below) | We, Thai Beverage Public Company Limited ("THBEV"), would like to announce that THBEV has incorporated a new direct wholly-owned subsidiary, Namjai ThaiBev (Social Enterprise) Co., Ltd. ("Namjai ThaiBev"), in Thailand. THBEV holds 99.998% in Namjai ThaiBev while the two remaining shareholders hold one share each. Namjai ThaiBev has a registered capital of Baht 1,000,000 consisting of 100,000 ordinary shares with a par value of Baht 10. Namjai ThaiBev will be engaged in producing, trading, rendering services, and others. Its aim is to help the society whereby the benefits gained from the said operation will be used to support and promote the development of communities and societies, education, public health, art and culture, and sports, so as to bring forth the communities and societies to be developed in a sustainable manner. This includes, but is not limited to increasing skills of "One Tambon One Product" (OTOP) members, promoting the use of Thai products to support domestic economy, and giving opportunities for Thai products to be present in international market. The aforesaid investment was funded through internally generated funds and is not expected to have any material impact on the earnings per share and net tangible assets of THBEV for this current financial year. To the best knowledge of the directors of THBEV (the "Directors"), none of the Directors or substantial shareholders of THBEV has any direct or indirect interest in the aforesaid transaction.
