| Description | We, Thai Beverage Public Company Limited ("THBEV"), would like to announce that pursuant to the approval in principal by the Executive Committee Meeting of THBEV, Thai Drinks Co., Ltd. ("Thai Drinks"), a subsidiary of THBEV, has completed the increase in the registered capital by Baht 1,340,000,000 consisting of 13,400,000 ordinary shares with an initial called-up capital of Baht 26.25 per share. Prior to the capital increase, Thai Drinks had registered capital of Baht 160,000,000 consisting of 1,600,000 ordinary shares with a par value of Baht 100, whereby all shares were fully paid-up. Consequently, Thai Drinks now has registered capital of Baht 1,500,000,000 divided into 15,000,000 ordinary shares. THBEV holds 95.05% in Thai Drinks, So Water Company Limited, which is an indirect subsidiary of THBEV, holds 4.94% in Thai Drinks and the two remaining shareholders hold one share each. THBEV funded the capital increase in Thai Drinks from cash flow from operations and bank loan, and this is not expected to have any material impact on the earnings per share and net tangible assets of THBEV for this financial year. To the best knowledge of the directors of THBEV (the "Directors"), neither the Directors nor substantial shareholders of THBEV has any interest, direct or indirect (other than through their respective shareholdings in THBEV), in the aforesaid transaction.
